Public Offer
Published: 29 July 2026
This offer is a proposal by the individual entrepreneur Kolle Stepan Aleksandrovich (the Licensor) to conclude a license agreement (the Agreement) on the terms set out below.
The offer is valid for: (a) legally capable natural persons who have reached 18 years of age; (b) minors aged 14 to 18 — provided that they act with the consent of their legal representatives or independently dispose of their earnings, scholarship, other income, or funds provided to them by their legal representatives for free disposal (Art. 26, 28 of the Civil Code of the Russian Federation); (c) individual entrepreneurs and legal entities (the User). By performing Acceptance and/or payment, a User aged 14 to 18 represents to the Licensor (Art. 431.2 of the Civil Code of the Russian Federation) that the conditions specified in sub-paragraph (b) are met. Use of the Service by persons under 14 years of age is permitted only through an account set up by a legal representative and used under their supervision; the legal representative bears responsibility for such use.
Please read the offer before you start using the Service. If you have any questions, write to us at support@trychat.io
1. Terms and definitions
Acceptance — full and unconditional acceptance by the User of the terms of the Agreement. Registration on the Service is deemed Acceptance.
Service — the Licensor's software located at: https://trychatgpt.ru/ (the Site). The Service is intended to provide access to neural networks.
Neural networks — Chat-GPT© and other neural networks that, upon the User's request (the Request), produce information based on that request in the form of text, images, video, audio, or in another form (the Result). The current list of Neural networks available under each Tariff is posted on the Site.
Personal Account — the User's account on the Service, through which the User accesses the Service's functionality. The Personal Account is created automatically when the User registers on the Service.
Tariff — the terms regarding the amount of license remuneration, the term of the Agreement, and the scope of access to the Service's functionality, including the amount of Energy and the list of available Neural networks. For natural persons, the Tariffs are posted at: https://trychatgpt.ru/plans and are an integral part of the Agreement. For legal entities and individual entrepreneurs, the terms of the Tariff are specified in an invoice-offer.
Energy — a conditional accounting unit used to measure the volume of use of the Service's functionality. Energy is debited each time the User addresses the Neural networks. The amount of Energy debited is determined automatically upon the processing of a specific Request and depends on the chosen Neural network, the volume and content of the Request, and the volume of the generated Result, and therefore is not fixed and may differ from Request to Request. The actual Energy consumption for each Request is displayed in the Service interface beneath the corresponding Request once the Result is received. The current Energy balance is displayed in the Personal Account (the account data section) and in the chat interface. Indicative information on Energy consumption when using various Neural networks is posted on the Site at: https://trychatgpt.ru/plans.
Energy Pack — a fixed amount of Energy purchased by the User on a one-off basis, in addition to an active paid Tariff. Purchasing an Energy Pack is available only to Users with an active paid Tariff (any Tariff except the starter one); this condition is communicated to the User before the Energy Pack is purchased. The Energy Pack has no expiry date: unused Energy is not cancelled. Energy, including Energy from Packs, may be used exclusively during the term of a paid Tariff. When a Tariff ends, unused Energy is retained by the User, but its use is suspended (blocked) until a new paid Tariff is activated, after which it automatically resumes. Such blocking does not deprive the User of the right to withdraw from the Agreement in respect of the Energy Pack and to claim a refund of the value of the unused Energy in the manner set out in section 9 of the Agreement.
Payment Service — the payment acceptance service engaged by the Licensor to arrange settlements with the User: OOO NKO "YuMoney" (the YooKassa service, Bank of Russia license No. 3510-K, registration number 3510, registered by the Bank of Russia on 02.08.2012) and/or OOO "Moneta.Ru" (Moneta.ru, Bank of Russia license No. 3508-K dated 29.11.2017), as well as other payment agents specified on the Site. The specific Payment Service is determined automatically at the payment stage and is displayed on the payment form.
Privacy Policy — the document defining the procedure for processing and protecting Users' personal data, posted at: https://trychatgpt.ru/policy. The Privacy Policy is an integral part of the Agreement.
2. Subject matter
2.1. The Licensor grants the User a simple (non-exclusive) license to use the Service on the terms of the chosen Tariff.
3. Rules for using the Service
3.1. The User accepts and undertakes to comply with the terms of use of the Neural networks (the Terms):
- https://openai.com/ru-RU/policies/terms-of-use/;
- other terms of the Neural networks to which access will be provided through the Service.
3.2. The Terms are an integral part of the Agreement.
3.3. The User may use the Service for commercial and non-commercial purposes.
3.4. The User is prohibited from using the Service (including submitting Requests and using Results) for:
- creating, distributing, or facilitating the distribution of materials that violate the legislation of the Russian Federation;
- creating sexual materials involving minors or any materials that sexualise minors (an unconditional prohibition);
- creating or distributing content containing calls for violence, terrorist or extremist activity, propaganda of hatred, or discrimination on any grounds;
- creating malicious software, unauthorised access tools, phishing materials, or organising spam mailings;
- creating and distributing knowingly false information, as well as materials that mislead as to their origin, including passing Results off as materials created by a human in cases where disclosure of automated origin is required by law, and creating images or recordings of real persons without their consent for the purpose of misleading;
- violating the rights of third parties, including rights to the results of intellectual activity, honour, dignity, business reputation, and privacy;
- making automated decisions entailing legal consequences for third parties without proper human review;
- attempting to circumvent the Service's technical restrictions, Tariff limits, security and filtering systems, as well as automated mass access to the Service without the Licensor's prior written consent;
- transferring access to the Personal Account to third parties outside the terms of the chosen Tariff.
3.5. A breach of clauses 3.1–3.4 is grounds for blocking the Personal Account in accordance with section 13 of the Agreement and/or for the Licensor's unilateral withdrawal from the Agreement.
3.6. The User understands and agrees that Results are generated automatically using machine learning algorithms and may contain inaccurate, incomplete, outdated, or erroneous information. Results do not constitute professional advice, including medical, legal, financial, tax, or other advice, and cannot replace consulting a relevant specialist. The User independently evaluates and verifies Results before using them and makes decisions based on Results at their own risk.
4. Registration on the Service
4.1. Before completing the registration procedure, the User undertakes to review the Agreement and the Privacy Policy.
4.2. The User registers using their accounts indicated on the Service or by email.
4.3. In cases where the User acts on behalf of and on the instructions of a legal entity or individual entrepreneur, the User guarantees to the Licensor that they have all the necessary authority to perform actions on the Service.
4.4. The Licensor may refuse to register a User unilaterally and without explanation.
4.5. After completing verification and registration, the User gains access to the Personal Account.
4.6. All actions of the User on the Service are deemed performed by them personally or by their authorised person.
5. Terms of using the Service
5.1. The Licensor grants the User the right to use the Service worldwide and for the term specified in the chosen Tariff.
5.2. Methods of using the Service:
5.2.1. installation of the mobile application on various electronic devices: PCs, smartphones, and tablets;
5.2.2. online use of the Service at https://trychatgpt.ru/.
5.3. After completing registration, the Licensor provides the User with demo access to the Service's functionality. The scope and term of the right of use for these purposes are specified at: https://trychatgpt.ru/plans.
5.4. The Licensor's obligation to provide the right to use the Service in respect of non-demo access is deemed fulfilled from the moment access to the Service is provided automatically after funds are received in the Licensor's settlement account.
5.4.1. With respect to Users who are legal entities or individual entrepreneurs, the fact of granting the right is confirmed by signing a universal transfer document (UTD).
5.4.2. With respect to Users who are natural persons, no exchange of rights transfer-acceptance acts or UTD is required.
5.5. The User does not provide the Licensor with reports on the use of the Service.
5.6. The list of Neural networks available under each Tariff is determined by the Licensor and published on the Site. Specific Neural networks and their versions are not an essential term of the Agreement: the Licensor may change the list, add, replace, and exclude Neural networks, and redistribute them between Tariffs, including in connection with decisions of the rights holders of the Neural networks, changes in the terms of their provision, or requirements of the law. If a Neural network is excluded from a paid Tariff during a paid period, the Licensor provides the User with access to a functionally comparable Neural network of a similar class. If providing a comparable replacement is impossible, the User may withdraw from the Agreement with a refund of part of the license remuneration calculated under the rules of section 9 of the Agreement.
5.7. The Licensor may carry out scheduled preventive and technical works entailing a temporary suspension of access to the Service. The Licensor notifies Users of scheduled works in advance where possible by posting information on the Site and/or in the Personal Account and seeks to carry them out during off-peak hours. The total duration of scheduled interruptions does not exceed 24 hours per calendar month. Such interruptions are not deemed a breach of the Licensor's obligations or a failure to render services.
5.8. In the event of emergencies and failures, the Licensor takes reasonable measures to restore the availability of the Service as soon as possible.
5.9. In order to protect minors from information harmful to their health and development (Federal Law No. 436-FZ of 29.12.2010), the Licensor may impose additional restrictions on Users under 18 years of age with respect to the available Service features, particular Neural networks, and the nature of the Results generated. The imposition of such restrictions is not deemed improper provision of the right to use the Service and is not grounds for recalculating the license remuneration.
6. Tariffs, Energy, and Energy Packs
6.1. The Licensor grants the right to use the Service on the terms of the following products:
6.1.1. Tariff (subscription) — access to the Service's functionality for a certain period with an included amount of Energy and a list of available Neural networks;
6.1.2. Energy Pack — an additional amount of Energy purchased on a one-off basis.
6.2. The composition, volume, cost, and other terms of the Tariffs and Energy Packs are posted on the Site at: https://trychatgpt.ru/plans and are communicated to the User before payment. This information is an integral part of the Agreement.
6.3. Energy included in a Tariff may be used during the paid period of the corresponding Tariff, unless otherwise expressly stated in the description of the Tariff on the Site.
6.4. Energy from Energy Packs has no expiry date, is not cancelled, and is consumed in the manner specified in the description on the Site. Purchasing Energy Packs is available only with an active paid Tariff; when a Tariff ends, unused Energy is retained and blocked until a new paid Tariff is activated (section 1, the definition of "Energy Pack").
6.5. The actual Energy consumption for each Request is determined automatically upon its processing and is displayed in the Service interface beneath the corresponding Request. The current Energy balance is displayed in the Personal Account and in the chat interface.
6.6. The Licensor may change the composition of Tariffs and Energy Packs and their cost in the manner provided by clause 7.9 and section 18 of the Agreement. Changes do not affect periods and volumes already paid for by the User.
7. Remuneration
General conditions
7.1. The User pays the license remuneration in the amount specified in the chosen Tariff or in the description of the Energy Pack.
7.2. The User pays the license remuneration by way of 100% prepayment, cashless, in Russian roubles.
7.3. The remuneration does not include the fee charged by banks or payment systems for processing the payment.
7.4. The amount of the license remuneration includes all taxes. The Licensor applies the automated simplified taxation system (ASTS); the license remuneration is not subject to VAT (clause 9, Art. 2 of Federal Law No. 17-FZ of 25.02.2022).
7.5. The User's payment obligation is deemed fulfilled from the moment the full amount of the license remuneration is credited to the Licensor's settlement account.
7.6. In order to fulfil payment obligations, the User instructs, and the Licensor undertakes, to arrange the debiting of funds using the Payment Service. The specific Payment Service is determined automatically at the payment stage and is displayed on the payment form.
7.7. The Licensor sends a payment receipt to the email address indicated by the User when paying.
7.8. For a User who is an individual entrepreneur or legal entity, a receipt is sent only if such an obligation is provided by the legislation of the Russian Federation.
7.9. The Licensor may change the amount of the license remuneration unilaterally by publishing the changes on the Site. The amount of license remuneration already paid is not subject to change; new prices apply to periods and products paid for after the changes are published.
For natural persons
7.10. The User pays the license remuneration in full (100%) by any available payment method on the Service.
7.11. The User may take out a Tariff with automatic renewal (auto-renewal) in the manner provided by section 8 of the Agreement.
7.12. The User represents to the Licensor (Art. 431.2 of the Civil Code of the Russian Federation) that they are responsible for the legitimacy and correctness of their payment details.
7.13. The User's payment obligations are deemed unfulfilled if the Licensor returned the funds at the request of the payment system. In this case, the Licensor may refuse to provide the User with access to the Service from the moment the funds are returned.
7.14. The Licensor does not control the hardware and software complex of payment systems and is not liable for their errors. If funds are not credited to the Licensor's account due to an error, the obligation to refund the User lies with the provider of the electronic payment system.
For legal entities and individual entrepreneurs
7.15. The User pays the license remuneration in full (100%) on the basis of an invoice-offer.
7.16. If, upon the expiry of 30 calendar days from the date of payment of the invoice-offer, the User does not send the Licensor reasoned objections regarding the failure to provide access to the Service, the services are deemed to have been duly rendered and accepted by the User in full.
8. Recurring (repeating) payments upon auto-renewal
8.1. Auto-renewal applies exclusively to Tariffs with a monthly period. Tariffs with a monthly period are provided under an automatically renewed subscription model: when taking out such a Tariff, the User ticks a checkbox consenting to the terms of recurring (automatically repeating) payments on the checkout page/payment form before making the payment. Without such a tick, payment for a Tariff with a monthly period is not made. Ticking the checkbox constitutes the User's explicit and conscious consent to regular debits in the manner set out in this section.
8.2. The User may cancel auto-renewal at any time, including immediately after payment, retaining access to the Service until the end of the period already paid for (clause 8.7).
8.3. By taking out a subscription, the User confirms that they have reviewed the conditions of the subscription and its automatic renewal, understand the frequency and amount of debits, and consent to the processing of payment data for recurring payment purposes.
8.4. The Licensor arranges the debiting of license remuneration amounts through the Payment Service using a token (PAN token) of the User's bank card obtained during the initial authorisation. Tokenisation is a technology in which the card number (PAN) is replaced by a random alphanumeric identifier (token); the real card details remain in the protected system of the Payment Service. The Licensor does not store full bank card data.
8.5. Funds are debited with a frequency of one month, in the amount of the Tariff in effect at the moment of the next payment, without additional confirmation of each individual operation — until the User cancels auto-renewal.
8.6. No later than 24 hours before the next debit, the Licensor sends the User a notification of the date and amount of the upcoming debit to their email address and/or to the Personal Account. The fact of making the next payment is confirmed by sending a receipt generated by the fiscal data operator (FDO) to the User's email address no later than 24 hours after the debit.
8.7. The User may cancel auto-renewal at any time in one of the following ways:
- independently, using the corresponding auto-renewal cancellation button in the Personal Account, without contacting the support service;
- by sending a request to the support service at support@trychat.io or to the Telegram account @trychatgptsupport.
After auto-renewal is cancelled, no debits are made; access to the Service is retained until the end of the current paid period.
8.8. The User may at any time delete (unlink) a saved payment instrument in the Personal Account independently, without contacting the support service. From the moment auto-renewal is cancelled, or the payment instrument is deleted (unlinked), or consent is otherwise withdrawn, the Licensor makes no debits from the corresponding payment instrument. Debits may resume only after new explicit consent from the User.
8.9. In the event of insufficient funds in the User's account, expiry of the card, the issuing bank's refusal to process the payment, or another obstacle, the Licensor may make repeated debit attempts — no more than 3 (three) within 7 (seven) calendar days from the moment of the first unsuccessful attempt. Repeated attempts are made only while auto-renewal is active (not cancelled by the User) and are not made if the User has cancelled auto-renewal, deleted the payment instrument, or otherwise withdrawn consent to debits. If funds cannot be debited after the attempts are exhausted, auto-renewal is terminated, and access to the Service may be restricted until successful payment.
8.10. The Licensor is not liable for the inability to debit funds under a recurring payment if it is caused by insufficient funds on the User's card, expiry of the card, blocking of the account, or a ban on recurring payments by the issuing bank. In such cases, access to the Service terminates upon the expiry of the paid period.
8.11. The User undertakes not to initiate a payment reversal procedure on the cardholder's initiative (Chargeback) in the absence of legal grounds provided by the legislation of the Russian Federation. The initiation of a Chargeback procedure without legal grounds, provided that access to the Service actually existed and the right of use was duly provided in the relevant period, is qualified as abuse of right (Art. 10 of the Civil Code of the Russian Federation). In this case, the Licensor may: restrict the User's access to the Service; recover from the User the amount of unjust enrichment (Art. 1102 of the Civil Code of the Russian Federation) in the amount of the payment returned by the bank; terminate the Agreement unilaterally. From Users that are legal entities and individual entrepreneurs, the Licensor may additionally recover the fees and penalties charged by the acquiring bank and/or the Payment Service in connection with the unjustified dispute.
9. Withdrawal from the Agreement and refunds
9.1. The User may submit an application to withdraw from the Agreement (the Application) at any time during the term of the Agreement.
9.2. The User must send the Application to support@trychat.io or to the Telegram account @trychatgptsupport. The Application must specify the identifier (ID) of the User's account on the Service and must have the payment receipt attached (the cash receipt sent to the User in accordance with clause 7.7 of the Agreement, or another document confirming payment). Bank details are not required: the refund is made to the payment instrument used for the payment (clause 9.4). If the Application lacks the said information and documents, the Licensor requests them from the User; the refund period provided by clause 9.4 runs from the moment an Application containing all the said information and documents is received.
9.3. The refund amount for Users who are natural persons is calculated as follows:
9.3.1. before access to the Service is provided — in full;
9.3.2. from the moment access to the Service is provided — in the amount paid for the Tariff less the value of the volume actually provided. The volume actually provided is determined as the greater of two values: (a) the share of calendar days elapsed from the start date of the paid Tariff period (the date the subscription was taken out or the start of the next paid period) to the date the Licensor received the Application, in the total number of days of the paid period; (b) the share of Energy consumed in the total amount of Energy included in the Tariff;
9.3.3. for an Energy Pack — in the amount of the value of the unused Energy, calculated on the basis of the actual price per unit of Energy in the purchased Pack. The value of Energy consumed is non-refundable. A refund under this clause is available including where the use of Energy is suspended due to the absence of an active paid Tariff;
9.3.4. the Licensor may, at its own discretion, refund the User a larger amount of the license remuneration, up to the full amount, as a goodwill measure. This is a right and not an obligation of the Licensor, is applied on a case-by-case basis, and creates no obligations in respect of other cases and other Users.
9.4. Refunds are made exclusively to the payment instrument used for the payment, through the corresponding Payment Service. If a refund to the original payment instrument is technically impossible (for example, the payment instrument is closed or unavailable), the Parties agree on another refund method; in this case, the Licensor may request from the User the details necessary for such a refund. A refund to a User who is a natural person is made within 10 (ten) calendar days of receiving an Application meeting the requirements of clause 9.2. A refund to a User that is a legal entity or individual entrepreneur is made within 10 (ten) working days of receiving such an Application.
9.5. If the User withdraws from the Agreement, the Licensor restricts access to the Service within 24 hours of receiving the Application.
9.6. Nothing in this section limits the rights of Users who are consumers provided by the consumer protection legislation of the Russian Federation.
10. Intellectual property rights
10.1. The exclusive right to the Service and its parts belongs to the Licensor.
10.2. The User is prohibited from:
10.2.1. using the Service in ways not provided by the Agreement;
10.2.2. copying the Service in whole or in part;
10.2.3. attempting to falsify or remove any information about the rights holders of the Service or parts of the Service;
10.2.4. decompiling, disassembling, decrypting, and performing other actions with the source code of the Service.
10.3. Any use of the Service other than that permitted, or in the case of the express consent of the rights holder to such use, is prohibited without the prior written permission of the rights holder.
11. Use of generated materials
11.1. By posting a Request on the Service to obtain a Result, the User grants the Service and other users of the Service a free-of-charge and irrevocable non-exclusive license to use the Result and/or the Request:
11.1.1. worldwide;
11.1.2. for the term of the exclusive rights;
11.1.3. by the following methods of use, including but not limited to: reproduction, copying, selection, systematisation, transformation, modification, editing, translation, publication, distribution, broadcasting, communication by cable, and making the Result and/or Request available to the public (in part or in full);
11.1.4. without indicating the User's name;
11.1.5. without the obligation to provide reports;
11.1.6. with the right to grant sublicenses to third parties.
11.2. The User confirms that they have the relevant rights and authority to grant the Service such a license.
11.3. The User may use the Requests and/or Results created by them or by other Users using the Service for personal non-commercial and commercial purposes, in compliance with the terms of this Agreement and applicable law.
11.4. The User also agrees that the Requests and/or Results they publish may be used to improve the operation of the Service's algorithms and technologies.
11.5. Results are created automatically, based on open data, and therefore may not be unique and may coincide, in whole or in part, with Results created in response to the Requests of other Users.
12. Limitation of liability
12.1. The Service is provided on an "as is" basis.
12.2. The User assumes all risks associated with using the Service.
12.3. The User is solely responsible for complying with the rights of third parties to the results of intellectual activity and means of individualisation when using the Service.
12.4. The Licensor gives the User no express or implied warranties regarding the Service. The Licensor does not warrant (including but not limited to): fitness for particular purposes, safety and security, accuracy, completeness, performance, system integration, uninterrupted operation, the absence of errors, the correction of defects, or the legality of use in any territories outside the Russian Federation.
12.5. The Licensor is not liable for:
12.5.1. the accuracy of the information disclosed by Users;
12.5.2. the User's losses;
12.5.3. the inability to use the Service for reasons beyond the Licensor's control;
12.5.4. any acts and/or omissions of providers of services, networks, software, or equipment;
12.5.5. the safekeeping of payment data;
12.5.6. unauthorised and/or unlawful use by third parties of the User's mobile phone, login, and/or password;
12.5.7. damage that may be caused to any of the User's devices, storage media, and/or software as a result of using the Service.
12.6. In the event that claims, demands, and/or lawsuits are brought against the Licensor regarding the violation of third-party rights connected with the User's breach of warranties, the User assumes the obligations to settle them.
12.7. The provisions of this section apply to the maximum extent permitted by applicable law. Nothing in the Agreement limits or excludes the rights of Users who are consumers provided by the consumer protection legislation of the Russian Federation, or the Licensor's liability in cases where its limitation or exclusion is not permitted by law.
12.8. Force majeure — any act, event, or circumstance that is not the result of the Parties' activity or is beyond the Parties' control, including hardware and software errors that made it impossible for the User to access the Service, technical problems with the Service, natural disaster, fire, flood, earthquake, extreme weather conditions, military action, actions of state authorities, and other events, if as a result of such acts/events the performance of contractual obligations is hindered (becomes impossible).
12.9. Upon the occurrence of Force majeure, each Party must notify the other Party in writing within 5 days of the occurrence of these circumstances. For the Licensor, the posting of a corresponding entry or news item on the Service may be deemed such notification to the User.
12.10. If force majeure circumstances persist for more than 2 months, each Party may withdraw from the Agreement unilaterally.
13. Blocking
13.1. The Licensor blocks the User's Personal Account in the event of:
13.1.1. detecting the User's violation of the terms of the Agreement (including the rules of clause 3.4), the Terms, or the provisions of the applicable legislation of the Russian Federation;
13.1.2. discovering the inaccuracy of the information provided by the User, as well as if the Licensor has reasonable doubts about its accuracy;
13.1.3. receiving corresponding demands from state authorities.
13.2. If the Personal Account's functionality is blocked, the User may contact the Licensor by email at support@trychat.io or via the Telegram account @trychatgptsupport. The Licensor removes the block within 2 working days after verifying the information from the User.

15.3. A request is processed within 7 working days of its receipt.
15.4. The Licensor is not obliged to inform the User of the results of processing a request if the text of the request contains obscene language, if the text is difficult to understand, or if the text of the request is unrelated to the operation of the Service.

16.3. When the User provides an email address, the Licensor sends to that address messages, notifications, requests, and information of an informational nature related to the Service.
16.4. Advertising mailings are sent to the User only with their separate consent. The User may at any time opt out of receiving advertising mailings via the link in the corresponding message or through the Personal Account; opting out does not affect the receipt of messages related to the performance of the Agreement.

17.2. By performing Acceptance, the User confirms that they have reviewed the Privacy Policy. 18.4. Continued use of the Service after changes and/or additions are made means that the User accepts and agrees to such changes and/or additions.
